Official Payment / Investment Process Policy

This Policy applies to all investment-related communication, Expression of Interest submissions, investor inquiries, investor meetings, fundraising discussions, payment instructions and investor-facing processes connected with https://investor.talkfever.com and Talkfever Social Media Limited.

This Policy is issued to protect investors, prospective investors, shareholders and other stakeholders from fake investment requests, unauthorized payment demands, misleading communication, fraudulent links and unofficial representatives.


1. Purpose of This Policy

This Policy clearly explains how official investment communication will be made, when payment may be requested, who is authorized to share payment instructions, what documents must be provided before any payment, what payment channels are official, and how fake payment requests should be reported.

2. Important Investor Warning

Investors should not make any payment based only on: website browsing, EOI submission, WhatsApp/social media messages, phone calls, verbal discussions, event invitations, presentation viewing, pitch deck download, unverified emails, QR codes from unknown persons, or fake representative communication.

Any investment payment must be made only after official confirmation, valid documentation, investor verification and legally compliant process.

3. EOI Is Not a Payment Request

Submission of an EOI does not mean investor has been selected, investment has been accepted, shares have been allotted, payment is due, or any binding relationship exists. Investors must not make payment immediately after submitting EOI unless Talkfever issues official written instructions through authorized channels.


4. Official Investment Process

Any investment process, if opened by Talkfever, may involve the following steps:

  • Step 1: Expression of Interest through the Investor Portal
  • Step 2: Internal Review of investor's EOI, category and eligibility
  • Step 3: Investor Verification (KYC, identity, PAN, demat, bank documents)
  • Step 4: Authorized Communication from official representatives
  • Step 5: Document Sharing through official channels
  • Step 6: Formal Offer / Investment Documentation including board approval reference, offer letter, application form, payment details, risk disclaimer and investor acknowledgement
  • Step 7: Payment Through Official Channel only
  • Step 8: Verification of Payment through official bank records
  • Step 9: Corporate Action / Allotment Process subject to applicable law
  • Step 10: Confirmation through authorized company communication

5. Official Payment Channels

Official payment channels may include company bank account in the name of Talkfever Social Media Limited, banking channel mentioned in legally valid offer documents, or payment method approved by the company.

Investors should NOT pay to: personal bank accounts, employee personal accounts, agent personal accounts, unknown UPI IDs, random QR codes, social media payment links, wallet accounts, cash collectors, or any account not officially authorized by Talkfever.


6. Official Communication Channels

Investors should verify all investment-related communication only through official channels. Official channels may include the Investor Portal, official phone (02269621912), registered office, and official company domain emails. Any investment-related email should come from an official company domain or an email address expressly verified by Talkfever.

7. Authorized Representatives

Only duly authorized representatives of Talkfever Social Media Limited may communicate official investment process details. An authorized representative may include a Director, Company Secretary, authorized Investor Relations officer, authorized finance representative, or any person specifically authorized in writing by Talkfever.

No employee, consultant, agent, creator, influencer, event volunteer or third party is authorized to collect investment money unless expressly authorized through official written documents.

8. Documents Required Before Payment

Before making any investment payment, investors should ensure they have received and reviewed all required documents including official investment communication, offer letter or application form, risk disclaimer, investor declaration, KYC request and verification instructions, bank account details in company name, and payment instructions. Investors should not rely on screenshots, forwarded PDFs, edited documents or unofficial messages without verification.

9. KYC and Investor Verification

Talkfever may require investor verification before accepting any investment or payment. Verification may include PAN, Aadhaar or identity proof, address proof, mobile and email verification, demat/DP details, bank account proof, company incorporation documents and source of funds declaration. Talkfever may reject, delay or close the investment process if verification is incomplete, false or non-compliant.

10. No Cash Payment Policy

Talkfever does not authorize cash collection for investment-related payments. Investors should not give cash to any person claiming to represent Talkfever for investment, allotment, share transfer, event entry, EOI approval or document access.

11. No Personal Account Payment Policy

Investors must not transfer investment money to any personal bank account or personal UPI ID of any director, employee, advisor, agent, creator, influencer, event manager or third party. All investment payments must be made only to the official account or channel legally communicated by Talkfever Social Media Limited.

12. No Third-Party Agent Collection

Talkfever does not authorize any third-party agent to collect investment money unless expressly appointed and disclosed through official company communication. Investors should be cautious of persons claiming "I can reserve your shares", "Pay now to confirm allotment", "Guaranteed return or exit" or similar claims. Such claims should be treated as suspicious and reported immediately.


13. Fake Communication Warning

Investors should beware of fake communication through WhatsApp, Telegram, Facebook, Instagram, LinkedIn, YouTube, SMS, phone calls, fake websites, fake emails, fake payment links, fake QR codes, fake certificates, fake allotment letters and fake investor groups.

14. Official Payment Verification Checklist

Before making any payment, investors should verify:

  • Is the investment process officially open?
  • Have I received official documents?
  • Is the payment account in the name of Talkfever Social Media Limited?
  • Is the communication from an official company channel?
  • Have I verified the payment details through Investor Relations?
  • Have I completed KYC, if required?
  • Have I read the Risk Disclaimer?
  • Have I understood that there is no guaranteed return?
  • Have I consulted my legal, financial or tax advisor?
  • Have I avoided personal accounts, cash, unknown UPI and random QR codes?

15. Confirmation of Payment

After making payment through the official channel, investors should send payment confirmation only to the official Investor Relations or compliance email. Talkfever will verify receipt only through official bank/payment records. A payment screenshot alone does not prove successful investment, allotment or shareholder status.

16. Refund, Rejection or Failed Process

If an investment application is rejected, not accepted, withdrawn, incomplete or not approved, refund or return of money will be handled according to applicable law, offer documents and company process. Talkfever will not refund payments made to fake, personal, unofficial or unauthorized accounts.

17. Share Allotment and Corporate Record Update

Payment alone does not create shareholder status. Shareholder status or securities ownership arises only after completion of all required legal, corporate and statutory process including valid application, payment realization, board approval, allotment approval, statutory filings and RTA/depository processing.

18. Rights Issue / Private Placement / Other Investment Process

If Talkfever undertakes rights issue, private placement, preferential issue, share transfer, allotment or any other securities-related process, the applicable process will be governed by Companies Act 2013, applicable rules, board and shareholder approvals, offer documents, Articles of Association and applicable tax, FEMA and securities law requirements.


19. Investor Responsibility

Investors are responsible for verifying official communication, reading all documents carefully, understanding risks, consulting advisors, completing KYC, making payment only through official channels, not sharing OTP, passwords or sensitive bank details, and not relying on unofficial promises or guaranteed return claims.

20. Reporting Fake Payment Requests

Investors should immediately report suspicious payment requests, fake agents, fake allotment claims, unauthorized communication or fraudulent links to the official phone: 02269621912.

21. Talkfever's Non-Liability for Unauthorized Payments

Talkfever will not be responsible for any loss, damage or claim arising from payment made to personal accounts, fake agents, unofficial QR codes, unverified UPI IDs, fake websites, or any unauthorized payment channel.

22. No Guaranteed Return or Exit

No representative of Talkfever is authorized to promise guaranteed return, fixed profit, assured dividend, guaranteed exit, guaranteed buyback, guaranteed listing, guaranteed IPO or guaranteed valuation increase. Any such promise should be treated as unauthorized and suspicious.
