Investor Portal Terms of Use
These Terms of Use govern access to and use of https://investor.talkfever.com and related investor-facing pages, forms, dashboards, documents, event registrations, investor updates, EOI submissions, communication tools and business information made available by Talkfever Social Media Limited.
By accessing, browsing, registering, submitting an Expression of Interest, downloading investor materials, attending investor events, or using the Investor Portal, you agree to these Terms of Use. If you do not agree, please do not use the Investor Portal.
1. Purpose of the Investor Portal
The Investor Portal provides investor-facing information, company updates, business progress, event information, investor engagement facilities and communication support. It is intended for information, communication and investor engagement purposes only.
2. Acceptance of Terms
By using the Investor Portal, you confirm that you have read and understood these Terms, are legally capable of using the portal, will use it only for lawful purposes, and understand that portal access does not create any investment right or allotment right.
3. No Investment Advice
Nothing on the Investor Portal should be treated as investment advice, financial advice, legal advice, tax advice, recommendation to buy/sell securities, guaranteed investment opportunity, or public offer. Users should consult their own professional advisors before making any investment decision.
4. No Public Offer Unless Legally Issued
Information on the Investor Portal does not constitute a public offer, private placement offer, securities solicitation, or binding investment proposal unless expressly issued through valid offer documents.
5. Expression of Interest Disclaimer
Submission of an EOI does not create any right to invest, receive shares, allotment right, binding agreement, guaranteed participation, or any investor relationship until valid documentation and approvals are completed.
6. Eligibility
The Investor Portal is intended for existing shareholders, prospective investors, angel investors, HNIs, venture capital firms, institutional investors, corporate investors, analysts, advisors, business partners, event invitees and authorized representatives.
7. User Information and Accuracy
Users must provide accurate and updated information. You must not submit false identity, fake investment interest or misleading documents. You must not impersonate another investor, company, advisor or representative. Talkfever may reject, delete, restrict or ignore incomplete, false, misleading or suspicious submissions.
8. Account Registration and Access
Users are responsible for keeping login credentials confidential, not sharing access with unauthorized persons, using portal access only for permitted purposes, and reporting unauthorized access immediately. Talkfever may restrict, suspend or revoke access where misuse, unauthorized sharing, security risk or policy violation is suspected.
9. Investor Materials and Document Use
Investor materials are provided for limited investor communication purposes. Unless expressly permitted in writing, users must not copy materials for public distribution, publish portal documents on social media, forward confidential documents to unauthorized persons, modify or misrepresent materials, use documents for competitor analysis, or present Talkfever documents as independently verified or guaranteed.
10. Confidentiality
Users agree to maintain confidentiality of non-public information including business plans, investor decks, financial projections, valuation details, fundraising strategy, product roadmap, revenue models, internal updates and due diligence materials. Violation of confidentiality may result in access termination and legal action.
11. Forward-Looking Statements
The Investor Portal may contain forward-looking statements, projections, targets, estimates, assumptions, plans and growth expectations. Forward-looking statements do not guarantee future performance, revenue, valuation, profitability, fundraising success, user growth, listing, liquidity, return or business outcome. Actual results may differ materially.
12. Financial and Valuation Information
Financial and valuation information may be unaudited, based on management assumptions, based on internal estimates, or subject to change. Such information is not a guarantee of future outcome or a recommendation to invest. Users should independently verify all information and consult qualified advisors before making decisions.
13. Risk Acknowledgement
Investing involves significant risk including loss of capital, illiquidity, business model risk, execution risk, market competition, regulatory changes, technology risk, revenue uncertainty, valuation risk, dilution risk and no guaranteed exit or return. Users must evaluate risks independently before making any investment decision.
14. No Guarantee of Fundraising or Allotment
Talkfever does not guarantee that any fundraising round will happen, any investment will be accepted, any investor will be selected, any shares will be allotted, any specific valuation will be finalized, any return will be generated, any liquidity event will happen, or any listing or exit will occur.
15. Event Registration and Attendance
Event registration does not create an investment right, shareholder right, allotment right or business commitment. Talkfever may accept or reject registrations, limit event access, verify invitees, modify event schedule, cancel or postpone events, and remove attendees who violate event rules.
16. Investor Communication
By submitting information through the Investor Portal, users agree to receive communication from Talkfever including investor updates, event invitations, meeting follow-ups, company announcements, business progress updates, fundraising communication and compliance notices. Users may opt out of non-essential communications.
17. Prohibited Use
Users must not submit false information, impersonate others, access documents without authorization, share confidential documents, scrape portal data, attempt hacking, upload malware, create fake investment interest, circulate misleading claims, or use Talkfever name for unauthorized fundraising.
18. Intellectual Property
All content, design, trademarks, logos, documents, graphics, dashboards and portal features belong to Talkfever Social Media Limited or its licensors. Users are granted a limited, revocable, non-transferable right to access the portal for legitimate investor communication purposes.
19. Data Protection and Privacy
Use of the Investor Portal is governed by the Investor Portal Privacy Policy. By using the portal, submitting forms or communicating with Talkfever, users consent to collection, processing, storage and use of their information in accordance with the Privacy Policy.
20. Third-Party Links
The Investor Portal may contain links to third-party websites, RTA/depository resources, payment services, document tools, event platforms, media articles or regulatory websites. Talkfever is not responsible for third-party content, security, privacy practices, services or claims. Users access third-party links at their own risk.
21. Accuracy and Updates
Talkfever aims to provide accurate and updated information, but the portal may contain errors, omissions, outdated information or content subject to change. Talkfever may update, modify, withdraw or remove any content at any time without prior notice.
22. Security
Talkfever may use reasonable technical and organizational measures to protect the portal. However, Talkfever does not guarantee that the portal will always be secure, uninterrupted, error-free or free from cyber risks. Users are responsible for using safe devices, secure networks and protecting login credentials.
23. Suspension or Termination of Access
Talkfever may suspend, restrict or terminate access to the portal if a user violates these Terms, submits false information, misuses investor materials, shares confidential documents without permission, poses a security risk, or for legal or compliance reasons.
24. Disclaimer of Warranties
The Investor Portal is provided on an "as is" and "as available" basis. Talkfever does not warrant that portal content is always complete, accurate or updated, that the portal will be uninterrupted or error-free, or that any investment return, exit or liquidity will occur.
25. Limitation of Liability
To the maximum extent permitted by law, Talkfever shall not be liable for any direct, indirect, incidental, consequential or special damages arising from use of the portal, reliance on content, EOI submission, event registration, investor communication, download of investor materials, or business decisions made by users.
26. Indemnity
Users agree to indemnify Talkfever from claims arising from breach of these Terms, misuse of the portal, submission of false information, unauthorized sharing of materials, breach of confidentiality or violation of law.
27. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Courts having jurisdiction over Gwalior, Madhya Pradesh, India shall have jurisdiction over disputes.
